Echo Labs – Website Terms and Conditions

Important: These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Echo Labs Pte. Ltd. (collectively, "Echo Labs," "we," "us," or "our"). By accessing or using echo.sg or any related sub‑domain or service (the "Site"), you agree that you have read, understood, and accepted these Terms.
Nothing in these Terms is intended to constitute legal, financial, or professional advice. You should obtain your own independent advice before relying on any information on the Site or entering into any contract with us.

1. Definitions

"Client" or "you" – any person or entity that accesses the Site and/or engages Echo Labs for Services.
"Services" – web design, web development, maintenance, hosting, digital strategy, or any other professional services offered by Echo Labs.
"Deliverables" – any website, software, design, report, or other work product that we produce for you as part of the Services.
"Intellectual Property Rights" – copyrights, patents, trade marks, trade secrets, and all other proprietary rights recognised in Singapore or anywhere in the world.

2. Acceptance of Terms

By using the Site, submitting an enquiry, requesting a quotation, or otherwise engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease use of the Site.

3. Scope of Services

3.1 The description, scope, timeline, and fees for any project will be set out in a written quotation, proposal, or Statement of Work ("SOW") issued by us and accepted by you (collectively, the "Project Documents").

3.2 In the event of any conflict between these Terms and the Project Documents, the Project Documents shall prevail only to the extent of the conflict.

4. Quotations, Orders, and Amendments

4.1 All quotations are valid for 30 calendar days unless otherwise stated. We may amend or withdraw a quotation before it is accepted.

4.2 Your written acceptance (including by email) constitutes an order. Once accepted, the order is binding and non‑cancellable except with our written consent.

4.3 Any change requests or additional work outside the original scope will be charged at our then‑current rates or as otherwise agreed in writing.

5. Fees and Payment

5.1 All prices are denominated in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST) unless expressly stated otherwise.

5.2 Unless otherwise stated in the Project Documents:

50% deposit is payable upon order acceptance;
40% is payable upon presentation of the first fully functional staging site; and
the remaining 10% is payable upon final hand‑over or launch, whichever is earlier.

5.3 Invoices are payable within 14 days of the invoice date. Interest at 1.5% per month (18% per annum) accrues on overdue amounts until full payment.

5.4 We may suspend work or delivery of Deliverables if payments are overdue.

6. Client Obligations

6.1 You agree to:

provide complete, accurate, and timely information, materials, and approvals;
ensure you have all necessary rights to any content or materials you supply to us;
review Deliverables and provide feedback within the timeframes specified in the Project Documents.

6.2 Delays in providing required information or approvals may result in project delays and additional charges.

7. Intellectual Property

7.1 Unless otherwise stated in the Project Documents, we retain all Intellectual Property Rights in any pre‑existing or generic code, frameworks, or tools ("Echo Labs IP").

7.2 Upon receipt of full payment of all fees, we grant you a perpetual, worldwide, non‑exclusive licence to use, reproduce, and display the Deliverables for your own business purposes.

7.3 You may not resell, redistribute, or sublicense any Deliverables or Echo Labs IP without our prior written consent.

8. Confidentiality and Privacy

8.1 Each party must keep the other party's confidential information in strict confidence and must not disclose it except as required by law or with the owner's prior consent.

8.2 We comply with Singapore's Personal Data Protection Act 2012 (PDPA). Our collection, use, and disclosure of personal data is detailed in our Privacy Policy.

9. Acceptable Use of the Site

9.1 You agree not to:

interfere with the security, integrity, or performance of the Site;
upload or transmit any malware or harmful code;
engage in any unlawful, fraudulent, or misleading activity;
attempt to gain unauthorised access to any part of the Site or our systems.

9.2 We may suspend or terminate your access to the Site if you breach these Terms.

10. Warranties and Disclaimers

10.1 We warrant that the Services will be performed with reasonable care and skill in accordance with generally accepted industry standards.

10.2 Except as expressly provided, the Site, Services, and Deliverables are provided "as is" and "as available." To the fullest extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose and non‑infringement.

10.3 We do not warrant that the Site or Deliverables will be uninterrupted, error‑free, or free of vulnerabilities.

11. Limitation of Liability

11.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded under applicable law.

11.2 To the maximum extent permitted by law:

our aggregate liability to you for any claim arising out of or relating to the Services or these Terms is capped at the total fees paid by you to us under the relevant Project Documents; and
we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, whether arising in contract, tort (including negligence), statute, or otherwise, even if we have been advised of the possibility of such damages.

12. Indemnity

You agree to indemnify, defend, and hold harmless Echo Labs, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees on an indemnity basis) arising out of or in connection with:

your breach of these Terms;
any content or materials you provide;
your misuse of the Site or Services.

13. Third‑Party Links and Integrations

The Site and Deliverables may contain links to, or integrate with, third‑party websites, software, or services. These are provided for convenience only and do not constitute endorsement. We have no control over, and accept no responsibility for, the content, privacy policies, or practices of any third party.

14. Suspension and Termination

14.1 Either party may terminate Services under a Project Document by written notice if the other party commits a material breach that is not remedied within 14 days of notice.

14.2 Upon termination, you must pay for all Services performed and costs incurred up to the termination date.

14.3 Clauses intended to survive termination (including Sections 7, 8, 11, 12, and 17) will continue in force.

15. Modifications to Terms

We may amend these Terms at any time by posting the amended Terms on the Site. The updated Terms take effect on the "Last updated" date stated at the top. Your continued use of the Site after that date constitutes acceptance of the changes.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore without regard to conflict‑of‑laws principles. You agree to submit to the exclusive jurisdiction of the courts of Singapore.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with any Project Documents and our Privacy Policy, constitute the entire agreement between you and Echo Labs regarding the Site and Services and supersede all prior agreements, understandings, or representations.
